LONDON and BRISBANE, Australia, December 12, 2016 – Microskin plc (MLSKN:Euronext Paris) announced today it has entered into an agreement to acquire ISOCOL International in an all-stock transaction, subject to valuation. ISOCOL International will become a subsidiary of Microskin. In addition, Mr. Christopher Musgrave, former president and executive director of ISOCOL International will join the board of directors of Microskin.
“ISOCOL is an iconic Australian brand with a trusted name in skin protection and an experienced team and partners in international marketing and distribution of retail skin products,” said Barry Amor, chairman of Microskin plc. “Microskin’s acquisition of ISOCOL International provides an established channel to expand the international distribution of our retail lines of sunscreens and other unique skin enhancement products into the UK and European markets and open sales opportunities in India and Asia.”
Microskin will acquire all distribution agreements with ISOCOL International currently in place or in negotiation for all territories outside of Australia and New Zealand. ISOCOL International has partnered with leading UK distributor, which exports skin and healthcare products to more than 60 countries. ISOCOL International has established distribution channels into the UK and Continental Europe and has new pipelines into the Asian marketplace.
“Microskin is recognized as an innovative Australian company with revolutionary second skin products that are distinctive and well-received in the market,” said Mr. Musgrave. “I believe the companies are aligned in their core values and international retail strategies, and I am looking forward to being a member of the board of directors to continue to fulfill our mission of delivering trusted products for skin protection in new markets around the world.”
Microskin has a personalized, color-matched line of waterproof, second skin products that are currently used by people who want to conceal vitiligo, rosacea, birthmarks, burns, eczema, lupus, keloid scarring, tattoos, and other skin-related conditions. In addition, Microskin is in the process of regulatory approval for Sunseal, a non-pigmented sunscreen that retains all the other properties of the “second skin” product, including sweat proof, highly waterproof, and long lasting.
The ISOCOL brand was founded in Australia in 1982 and has become one of Australia’s most trusted and iconic brands with the now very familiar Crocodile on the green bottle and the “One bottle, so many uses” slogan easily recognizable. ISOCOL has developed into a brand that is now widely recognized and sold across Australia and New Zealand in all supermarkets and pharmacies.
